Position Summary:

Establish Compliance and Governance Function within the company by maintaining the company reputation and credibility through understanding the requirements of the concerned regulators. Ensure that the company understands and complies with any rules or regulations that apply to the publicly listed company issued by the Capital Market Authority (CMA) or related regulators.

Primary Duties & Responsibilities:

1- Establish a clear over-riding governance framework which defines how the organization’s Corporate Governance Documents are established, developed, reviewed, maintained, updated, and approved as per Corporate Governance and regulatory requirements.
2- Assist in annual update of the governance framework which defines the Corporate Governance Frameworks and policies to ensure compliance with company needs, best practice and regulators’ requirements.
3- Practice an open transparent and constructive relationship with regulators to ensure prompt awareness of regulatory requirements and changes related to corporate governance.
4- Ensure that the company understands and complies with any rules or regulations that apply to publicly listed company issued by the Capital Market Authority (CMA) or related regulators;
5- Manage all Governance Documents communications and ensure they are promptly communicated to the concerned parties.
6- Direct the development of annual Board Report, press releases.
7- Monitors and developing corporate governance and compliance related rules, regulations, requirements, trends, and best practices
8- Assisting on managing and planning the work of the company policies and procedures towards the company governance, disclosure and managing general assemblies.
9- Advice and feedback to the Board, senior and executive level
10- Develop and uploads on Tadawul portal all the company related updates
11- Collaborate closely with all the HQ functions (Legal, Finance, HR …) in executing the various projects

Qualifications:

• Bachelor’s degree in relevant field.
• 5 – 8 years Experience as Compliance Manager or Similar position.
• IFSAH Certificate.
• General Securities Qualification Certificate (CME-1) is a plus
• Experience in dealing with CMA & Tadawul
